Las entidades estatales con regímenes exceptuados no tienen una facultad expresa, tal como la tienen las entidades que se rigen por el estatuto de la contratación pública, para hacer efectivas de forma unilateral y sin acudir a los jueces, las cláusulas sancionatorias también llamadas cláusulas accidentales, convirtiéndose en prerrogativas exclusivas de la administración, lo cual genera el interrogante si en virtud de la autonomía de la voluntad derivada del derecho civil y comercial, aquellas, las entidades exceptuadas, no ya en virtud de las cláusulas excepcionales (que le están vedadas) pero si del derecho común podrían aplicar de forma unilateral las sanciones contractuales previstas en el contrato, asunto que conlleva a que este artículo aborde como objetivo general el identificar cual es el alcance de las facultades unilaterales en los contratos estatales regidos por el derecho privado, el cual es desarrollado desde una investigación cualitativa de enfoque hermenéutico jurídico, que permitió concluir que pese a la falta de unidad jurisprudencial del Consejo de Estado se puede acudir a los postulados básicos del derecho civil para que incluir y hacer efectivas dichas cláusulas sea una opción para los regímenes especiales.
